Cultioo Inc. is a corporation organized under the laws of the State of Delaware, USA. “Clurno”, “we”, “us” and “our” refer to Cultioo Inc.
1. Scope
These Terms of Service (“Terms”) govern your use of the Clurno website, web app, backend services, and the Clurno Dots on Telegram and WhatsApp (together, the “Service”). By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of a company, you confirm that you may bind that company, and “you” means the company.
Our Privacy Policy explains how we handle personal data and is part of these Terms.
2. Accounts
- You sign in without a password: with a one-time code sent to your email or phone, or with Google. Keep access to that email, phone or Google account secure — whoever controls it can access your Clurno account.
- You must be at least 16 years old and give accurate information.
- You can try parts of the Service without an account. Data in such a guest session is tied to your browser and may be lost when you clear it or sign out.
- You can delete your account at any time in the app under Settings → Your data.
3. The service
Clurno gives you a team of AI agents (“Dots”) — for example CEO, CMO or CFO roles — that you can give goals, chat with in the web app and on messengers, and that can work with files and connected tools. Features depend on your plan and may change as we improve the Service.
The Service uses third-party infrastructure and AI providers (see the list of processors). Some features only work once you connect the corresponding third-party account or key.
4. AI output
Dots generate text, plans, numbers and other output with large language models. AI output can be wrong, incomplete or outdated. It is not legal, tax, financial, medical or other professional advice. You are responsible for reviewing output before you rely on it, publish it or send it to others, and for decisions you make based on it.
Actions that affect the outside world (for example sending emails or messages) require your configuration and, where offered, your approval in the app. You remain responsible for actions you approve or configure to run automatically.
5. Plans & payment
- Paid plans (Starter, Pro, Enterprise) are subscriptions billed monthly or yearly in advance. Prices are shown on our pricing page before you subscribe; prices in other currencies are for display only, and you are charged in USD or EUR.
- Payments are processed by Stripe. We do not see or store your full card details.
- Before your first payment we ask for billing details. After every payment we issue an invoice, available in the app under Usage & Billing and sent to your invoice email. Invoices are in English by default; you can choose another language in your billing details.
- Subscriptions renew automatically until cancelled. You can cancel at any time in the app (Usage & Billing → Manage); the cancellation takes effect at the end of the current billing period, and you keep access until then.
- Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial periods.
- Any taxes that apply are your responsibility unless we are required to collect them, in which case they are shown at checkout and on the invoice.
- The included AI model is subject to a daily request limit that depends on your plan. We may change prices or plan contents for future billing periods with at least 30 days’ notice; you can cancel before the change takes effect.
6. Your own AI keys (“bring your own key”)
You can connect your own accounts with AI providers (for example OpenAI, Anthropic, Google or others) by entering API keys. When you do, requests are sent to that provider through our backend on your behalf. You are responsible for the provider’s fees, for complying with the provider’s terms, and for the security of your keys. We store keys encrypted and use them only to run the Service for you.
7. Telegram & WhatsApp
When you link a Telegram or WhatsApp chat to a Dot, messages in that chat are processed by our backend and answered by the AI. Your use of Telegram and WhatsApp is also governed by their own terms. Unlink a chat at any time with /stop or in the app.
8. Acceptable use
You must not use the Service to:
- break the law or infringe the rights of others, including privacy, intellectual property and anti-spam rules;
- send unsolicited bulk messages, harass people, or impersonate others;
- create malware, attack systems, or try to bypass security, limits or access controls of the Service;
- generate content that exploits minors, promotes violence or terrorism, or is otherwise unlawful;
- resell or provide the Service to third parties without our written permission, or use it to build a competing service.
We may suspend accounts that violate these rules or put the Service or other users at risk.
9. Your content
You keep all rights to the content you put into the Service (messages, files, goals, workspace data) and to the output generated for you, to the extent the law allows. You give us a limited license to host, process and transmit that content solely to provide, secure and support the Service. We do not use your content to train AI models, and we do not sell it.
You confirm that you have the rights needed for the content you upload, including personal data of third parties (for example contacts or leads).
10. Availability
We work to keep the Service available and secure, but we do not guarantee uninterrupted availability. Maintenance, updates and outages of third-party providers (hosting, AI providers, messengers, payment) can affect the Service.
11. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement.
12. Limitation of liability
To the maximum extent permitted by law, Cultioo Inc. is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for all claims relating to the Service is limited to the amount you paid us in the 12 months before the event giving rise to the claim, or USD 100 if you have not paid anything.
Nothing in these Terms limits liability that cannot be limited by law, such as liability for intent, gross negligence, or injury to life, body or health.
13. Indemnification
If you use the Service for business purposes, you will defend and indemnify Cultioo Inc. against third-party claims arising from your content, your use of the Service in breach of these Terms, or your violation of law.
14. Termination
You can stop using the Service and delete your account at any time. We may terminate or suspend your access for material breaches of these Terms, or with 30 days’ notice for any other reason; in that case we refund prepaid fees for the unused period. After deletion we remove your account data as described in the Privacy Policy; invoices are kept as required by law.
15. Changes to these terms
We may update these Terms. For material changes we will notify you by email or in the app at least 30 days before they take effect. If you continue to use the Service after that, the new Terms apply; if you do not agree, you can cancel before they take effect.
16. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Courts located in Delaware have exclusive jurisdiction, except that consumers keep the protection of the mandatory laws and courts of the country where they live.
If any provision is found unenforceable, the rest of these Terms remain in effect.
